These Terms of Service (“Terms”) govern your use of the TinyFriends website located at www.mytinyfriends.com (the “Website”), including the submission of a VIP Pre-Launch Deposit and any future purchase of TinyFriends products. This agreement is between You and Tiny Friends d.o.o., a company registered in Slovenia, with its registered office in Ljubljana, Slovenia.

By accessing or using the Website, you accept and agree to be bound by these Terms. If you do not accept these Terms, please do not use the Website. If you have any questions, please contact us at [email protected] before using the Website or submitting a deposit.

1. Introduction & Definitions

The following definitions apply throughout these Terms:

“Company”, “We”, “Us” means Tiny Friends d.o.o., a company registered under the laws of Slovenia, with registered office in Ljubljana, Slovenia.

“Website” means the website located at www.mytinyfriends.com or any other URL which may replace it.

“You”, “User” means any person who accesses or uses the Website.

“Product” means the TinyFriends smart birdhouse and any related accessories displayed on the Website.

“VIP Deposit” means the fully refundable €1 pre-launch deposit submitted via the Website to secure priority access to Super Early Bird pricing on the Kickstarter campaign.

“Order” means any offer you place via the Website for the purchase of Products, which becomes binding upon our acceptance.

“Kickstarter Campaign” means the future crowdfunding campaign to be launched on Kickstarter.com through which Products will be made available for purchase.

“Privacy Policy” means our Privacy Policy available at www.mytinyfriends.com/privacy-policy, which forms part of these Terms.

2. Access & Use of the Website

2.1 General Access

Your access to and use of the Website is conditioned on your acceptance of and compliance with these Terms and our Privacy Policy. By accessing or using the Website you agree to be bound by these Terms.

You warrant that you are at least 18 years of age and have full legal capacity to enter into this agreement. If you are acting on behalf of a legal entity, you represent that you are authorised to do so.

We reserve the right to terminate or restrict your access to the Website without prior notice if you violate these Terms or misuse the Website.

2.2 Modifications to the Website

We reserve the right to modify, suspend, or discontinue the Website (or any part thereof) at any time, with or without notice. We shall not be liable for any such modification, suspension, or discontinuation.

2.3 Modifications to These Terms

The Website may contain links to third-party websites. We are not responsible for the content, privacy practices, or availability of such external sites. Accessing third-party links is at your sole discretion and risk.

3. VIP Pre-Launch Deposit

3.1 What Is the VIP Deposit?

The VIP Pre-Launch Deposit is a fully refundable €1 payment that secures your place on the priority waitlist and grants you access to Super Early Bird pricing when the TinyFriends Kickstarter campaign launches. The deposit does not constitute a purchase of a Product.

3.2 What You Receive

By submitting the VIP Deposit, you:

• Secure your place on the Super Early Bird priority list
• Receive early notification before the Kickstarter campaign goes public
• Gain access to the lowest available campaign pricing tier
• Receive a confirmation email with details of your reservation

3.3 Refund of the VIP Deposit

The €1 VIP Deposit is fully refundable at any time, for any reason, without any conditions. To request a refund, simply contact us at [email protected]. Refunds will be processed to the original payment method within 14 days of your request.

The deposit will also be automatically refunded if the Kickstarter campaign does not launch or if you choose not to back the campaign.

3.4 No Guarantee of Product Purchase

Submission of the VIP Deposit does not obligate you to purchase any Product. The deposit simply reserves your position in the priority access queue. Any future purchase will be subject to a separate agreement on the Kickstarter platform.

3.5 Campaign Timing

The Kickstarter campaign launch date is indicative and subject to change. We will notify VIP Deposit holders by email with reasonable notice prior to the campaign launch. We are not liable for any delay in the campaign launch.

4. Ordering Process & Shipping

This section applies to any future direct purchases made via the Website, if and when such purchasing functionality becomes available.

4.1 Prices

All prices displayed on the Website are in Euros (€) unless stated otherwise. Prices for products dispatched to EU destinations include applicable VAT at the rate of your home country. For shipments outside the EU, you are solely responsible for any applicable customs duties, import taxes, or other public charges.

We strive to ensure all prices are accurate. In the event of a pricing error, we will notify you before processing your order and you may choose to proceed at the corrected price or cancel your order.

4.2 Order Acceptance

Placing an order constitutes an offer to purchase. A confirmation of receipt of your order does not constitute acceptance. We will send a separate order acceptance email, at which point a binding agreement is formed.

We reserve the right to decline any order due to, among other reasons: product unavailability, payment authorisation failure, pricing errors, or shipping limitations to your country.

4.3 Shipping

Products will usually ship within 1–2 business days of order acceptance. Estimated delivery times are 7–21 working days depending on destination, carrier, and other factors. These are estimates and not guarantees.

We ship to the EU, UK, United States, Canada, Australia, and New Zealand. Shipping costs will be clearly displayed at checkout and are in addition to the product price.

5. Returns, Cancellations & Refunds

5.1 VIP Deposit

As described in Section 3.3, the €1 VIP Deposit is fully refundable at any time with no conditions.

5.2 Product Returns

If and when Products become available for direct purchase via the Website, the following applies:

EU/EEA consumers have the right to withdraw from a purchase contract within 14 days of receiving the product without giving any reason, in accordance with applicable consumer protection law (Directive 2011/83/EU). To exercise this right, please contact us at [email protected].

Products must be returned in their original condition. We will process refunds within 14 days of receiving the returned product, using the same payment method as the original transaction.

5.3 Cancellations

You may cancel an order prior to dispatch by contacting [email protected]. If the order has already been packed or dispatched, cancellation may be subject to a handling fee of up to €20. This applies to physical product orders only and does not apply to the €1 VIP Deposit.

6. Claims & Dispute Resolution

6.1 Contact

6.2 For EU/EEA Customers

If your claim is not resolved to your satisfaction, EU/EEA consumers may refer the dispute to an alternative dispute resolution body. We are willing to participate in out-of-court dispute resolution proceedings through the European Centre for Dispute Resolution (ECDR), Tomšičeva ulica 6, 1000 Ljubljana, Slovenia.

You may also use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

6.3 For Customers Outside the EU

For customers outside the EU, disputes that cannot be resolved informally may be referred to arbitration under the rules of the American Arbitration Association (AAA) for US customers, or to a competent court of jurisdiction for customers in other countries. All information regarding the AAA is available at www.adr.org.

7. Limitation of Liability

To the maximum extent permitted by applicable law, the total liability of Tiny Friends d.o.o. for any claim arising under these Terms shall be limited to the amount actually paid by you to us in the 12 months preceding the claim.

We shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, loss of data, or business interruption, even if we have been advised of the possibility of such damages.

The Website is provided “as is” and “as available” without any warranties of any kind, express or implied. We do not warrant that the Website will be uninterrupted, error-free, or free from viruses or other harmful components.

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.

8. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Slovenia. Your use of the Website may also be subject to other applicable local, national, or international laws.

For EU/EEA consumers, nothing in these Terms affects your rights under the mandatory consumer protection laws of your country of residence.

9. General Provisions

9.1 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

9.2 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

9.3 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Tiny Friends d.o.o. with respect to the use of the Website.
